1. Scope

These general terms and conditions of sale govern all sales of products (organic cotton T-shirts, sweatshirts, and polo shirts) made by Organic Reworks (Unteks Design & Marketing S.L.) to professional customers (B2B). By placing an order, the customer fully accepts these terms and conditions.

2. Products

The products offered are textile garments (T-shirts, sweatshirts, and polo shirts) made of certified organic cotton. Product characteristics, including materials, sizes, and colors, are detailed in the catalogs and technical sheets provided to the customer.

3. Orders

  • Orders must be placed through our web platform.
  • All orders are subject to stock availability.
  • A minimum order may be required depending on the agreed commercial conditions.

4. Prices

  • All prices are expressed in [euros/dollars] excluding applicable taxes (such as VAT).
  • Prices are net, excluding shipping, customs, taxes, or insurance, unless expressly agreed upon.
  • We reserve the right to change prices without prior notice, although confirmed prices will be honored for previously accepted orders.

5. Payment Terms

  • Payment will be made by bank transfer, credit card, or any other method indicated in the Secure Payment section.
  • Standard Terms: 100% upon order placement and before shipment (can be adjusted by negotiation).
  • In the event of late payment, late payment interest will be applied in accordance with current legislation, and future deliveries may be suspended.

6. Delivery Times

  • Delivery times are estimates and not contractual, unless a guaranteed delivery time has been agreed upon in writing.
  • Claims for delays due to force majeure or logistical problems beyond our control will not be accepted.

7. Transportation and Delivery

  • Unless otherwise agreed, merchandise is delivered EXW (Ex Works), meaning the customer assumes all costs and risks from the moment it leaves our facilities.
  • The customer must inspect the merchandise upon receipt. Any damage or discrepancy must be reported in writing within 48 hours of receipt.

8. Returns and Claims

  • Returns will not be accepted without prior authorization.
  • In the case of a manufacturing defect, this must be reported within 7 days of receiving the order. The claim will be evaluated and, if applicable, a replacement or refund will be offered.
  • Returns for commercial reasons (size, color, change of mind) are not accepted.

9. Ownership of Merchandise

Until full payment is received, ownership of the merchandise will remain with Organic Reworks (Unteks Design & Marketing).

10. Intellectual Property

The trademarks, designs, and any distinctive elements present on the products or in the commercial materials are the property of Organic Reworks (Unteks Design & Marketing) or authorized third parties. Reproduction or use is prohibited without prior written consent.

11. Force Majeure

We will not be liable for failure to perform our obligations if this is due to force majeure (including pandemics, strikes, transportation disruptions, etc.).

12. Applicable Law and Jurisdiction

These terms and conditions are governed by the laws of the Community of Madrid. In the event of a dispute, both parties submit to the courts of [location], waiving any other jurisdiction that may apply.
